Terms of Service

1. Who we are

Heldnote is operated by Ömer Faruk Bayrak, operating as OFCode.

2. Acceptance and scope

These terms apply when you use heldnote.app. If you do not accept them, do not use the service. They cover the application and this website; they do not cover Google Drive or GitHub, which are governed by their own terms.

3. What Heldnote is

Heldnote is a notepad that runs in your web browser and keeps a version history of what you write. There is no account and no registration. Nothing you write is sent to us.

4. It is free

Heldnote costs nothing and has no paid tier, no trial and no upsell. We are not obliged to keep it that way forever, but any change would be announced rather than applied silently.

5. Your content

Everything you write in Heldnote is yours. We claim no ownership, no licence and no right to use it. It is stored by your own browser on your own device, and we have no technical means of reading it. How it is stored is described in the Privacy Policy.

You are responsible for what you write, and for keeping your own copies of anything you cannot afford to lose.

6. Google Drive backup

Heldnote offers an optional backup to your own Google Drive. It is off unless you enable it. When enabled, Heldnote uses the drive.appdata scope, which reaches only a hidden folder belonging to this application, and writes a single backup file there.

Your relationship with Google is governed by Google's terms, not by ours. We do not control Google's availability, and a backup that Google loses, throttles or refuses is outside anything we can promise.

7. Acceptable use

Do not attempt to disrupt, overload, probe or gain unauthorised access to the site or its hosting. Do not use Heldnote to break the law. Do not present Heldnote, or a modified copy of it, as your own service.

8. Intellectual property

Heldnote — its source code, design, name and content — is the property of Ömer Faruk Bayrak (OFCode). All rights are reserved.

The source is published on GitHub so that anyone can read it and confirm what the application does. Publication is for inspection only and grants no licence. You may read the code; you may not copy, modify, redistribute or host it without prior written permission. The full statement is in the repository's LICENSE file.

9. Availability and changes

Heldnote is offered without any guarantee of availability. We may change, suspend or discontinue it, in whole or in part, at any time. Because your notes live in your own browser rather than on our infrastructure, they are not removed if the site goes away — but you should export anything important rather than rely on the site continuing to exist.

10. No warranty

Heldnote is provided "as is" and "as available", without warranty of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement. We do not warrant that it will be uninterrupted, error-free, or that any defect will be corrected.

11. Data loss

This deserves its own section rather than a line buried in the one above.

Heldnote stores your notes in your browser. Browser storage is not permanent. It can be erased when you clear site data, evicted by the browser when the device runs short of space, discarded when a private-browsing session ends, or lost if the browser profile or device is damaged. None of these are within our control and none of them are visible to us.

Export your work, or enable the Drive backup, if losing it would matter. We accept no liability for lost, corrupted or unrecoverable notes.

12. Limitation of liability

To the fullest extent permitted by applicable law, we are not liable for any indirect, incidental, special, consequential or punitive damages, nor for any loss of data, profits, revenue or goodwill, arising out of or in connection with your use of Heldnote — whether the claim is founded in contract, tort or otherwise, and whether or not we were advised of the possibility.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited.

13. Third-party services

heldnote.app is hosted on GitHub Pages. The optional backup uses Google Drive. Both are independent providers operating under their own terms and privacy policies, and neither is under our control.

14. Changes to these terms

These terms may change. The date at the top will change with them, and material changes will be described on this page.

15. Language

These terms are published in English. Any translation is provided for convenience only. In the event of a discrepancy, the English version governs.
